We are seeking an enthusiastic, social-impact minded Law Fellow to play a critical role in building a new, innovative health foundation that has the potential to be an amazing force for good in the community. The Empire Health Foundation will be designed and created from the ground up. You will have a unique opportunity to gain invaluable experience in legal and business issues, with an organization at the intersection of: private foundation law, health care law, public policy, and other substantial challenges facing a start up exempt grant making organization.
This position will provide an entrepreneurial opportunity to apply your skills, experience and resourcefulness. You will be reporting directly to the foundationÂ’s President, who is a JD with significant leadership experience across business, legal, nonprofits and philanthropy. YouÂ’ll be assisting with the foundationÂ’s engagement with leading, senior, mission-oriented leaders at nonprofits, government, business, and health. Moreover, you will assist with the implementation of the grants management program from the ground up, while beginning to develop your expertise in grant making compliance, governance, tax-exempt organization issues, and an unusual set of complex legal/business matters normally found in an operating non-profit health care system. You will also have the opportunity to learn and engage with a number of expert external counsel on a wide range of business, nonprofit, and health care related matters.

About Empire Health Foundation:
The Empire Health Foundation is built on the legacy of 110 years of compassionate health care in eastern Washington, serving the seven county area of Eastern Washington including Spokane, Whitman, Lincoln, Adams, Ferry, Stevens and Pend Oreille counties. Formed in 2008 from the proceeds of the sale of Empire Health Services, Empire Health Foundation is a private foundation with a mission of transforming these counties into the stateÂ’s healthiest region. The Foundation will operate exclusively for betterment of health in Eastern Washington, specifically in the areas of access, education, wellness, research and public policy. Responsibilities:
As a Law Clerk / Law Fellow, you will support EHF executive management and board of directors on a broad array of matters. Specific responsibilities will include, but are not limited to, the following:
• Perform general in-house counsel type work for our non-profit organization, assisting the President of the Foundation with coordination and execution of numerous legal matters
• Understand and gain foundational expertise in 501(c)(3) tax law especially as they relate to private foundations, grants management processes, board of directors and governance, and compliance
• Conduct legal research regarding various issues in health care, business, exempt organizations, and employment law. Conduct other nonprofit, health, and public policy related research
• Ensuring effective internal and external communication through clear, professional written and verbal interaction, including engagement with expert external counsel
• Produce and provide materials for Board of Directors meetings and Committee activities
• Provide key data necessary for the functioning of the the foundation to external resources such as attorneys, accountants, administrators and other service providers
• Clearly communicate standards and processes to grantees and collaborators.
Required skills and experience:
• J.D. degree
• Ability to communicate with different audience levels, including executives, legal professionals, nonprofit staff, government representatives, partners, and internal staff of all levels. Excellent written and verbal communication skills.
• Excellent time management skills and the ability to prioritize tasks to completion
• Superior attention to detail and organizational skills
• Resourceful and self starter, proactive in the face of unfamiliar territory.
• Proficient with technology such as web based applications, legal research tools, and MS Office
Preferred skills and experience:
• Background in philanthropy, nonprofit, or community service
• Background in health, healthcare, or health policy
• Exposure to a startup environment
